다음 날 나는 동북에서 온 대리상들을 영접한 후, 사무실이 있는 2층 회의실이 아닌 3층 소강당에 자리를 마련하도록 했다. 그 이유는 그들에게 섣불리 회사의 업무가 돌아가는 상황을 보여 주고 싶지 않았을 뿐만 아니라, 내가 다른 일로 방해 받지 않고 오직 협상에만 집중할 수 있도록 하기 위함이었다.
간단한 오피스 투어 후 나는 바로 그들에게 가지 않고, 원래 계획대로 임 부장을 통해 회사 및 제품을 자세히 소개하도록 하였으며, 나 부장으로 하여금 금년 신제품 개발 계획 및 자사의 우수한 품질을 자랑하도록 했다.
그렇게 오전을 보내게 하고 나서, 나는 그들과 함께 일부러 4층 구내식당에서 직원들과 함께 점심식사를 함으로써, 회사의 친근하고 즐거운 분위기를 느끼도록 하여 그들의 긴장된 마음을 느슨해지도록 만들었다.
삼국지에서 제갈공명이 오촉 연합군을 결성하여 조조의 대군을 격파한 적벽대전의 가장 큰 승리 요인은 바로 뛰어난 지략가인 조조를 방심케 한 것이다. 조조는 주유와 친한 장간을 파견하여 정보를 알고자 했지만, 주유는 오히려 친구인 장간을 속여 조조를 안심시켰으며, 방통은 조조를 찾아가 피로에 지치고 해전에 약한 병사들이 배멀미를 하지 않도록 배를 하나로 묶게 하는 연환계를 성공시켰다.
결국 제갈공명이 예측한대로 아무도 예상치 못했던 동남풍이 불자, 오촉 연합군은 화공을 써서 조조군을 섬멸했다. 적벽대전은 손자병법의 천(天), 지(地), 인(人)이 조화를 이룬 대표적인 성공 사례지만, 가장 큰 성공 요인은 쉽게 방심하지 않고 치밀한 조조를 안심시킨 결과였다.
협상에서도 상대방을 안심시킨다는 것은 매우 어려운 일이다. 따라서 나는 먼저 협상에 들어가기 전에 오전 두 시간을 소비해서 나보다 그 분야에서 더 전문적인 팀장들이 프레젠테이션을 하게 하여 그들에게 신뢰감을 주려고 했다. 신뢰감은 상대방을 안심시키게 하는 가장 중요 요소이다. 다음으로 그들에게 편안한 느낌을 제공함으로써, 그들이 우리 회사를 믿고 안심할 수 있도록 한 것이다.
그렇게 오전을 보내 후에야 비로소 나는 통역과 함께 3층으로 올라갔다. 나는 간단한 자기소개 후, 협의에 앞서 서먹한 분위기를 없애기 위해 간단한 퀴즈 두 가지를 준비했다. 일종의 아이스 브레이킹(Ice Breaking)용 도구였지만, 그 이면에는 기존의 고정관념을 깨기 위해 내가 주로 직원 및 사업자들에게 활용하고 있는 것으로써, 자신도 모르게 잠재의식 속에 닫혀 있었던 마음을 서서히 열게 하는 암시가 내재되어 있었다. 모두들 한바탕 웃음으로 즐겁고 화기애애한 분위기가 무르익었을 즈음, 내가 말을 꺼냈다.
“아마 제가 여러분에게 이 문제들을 내기 전에 암시를 걸지 않았다면, 오히려 여러분은 문제를 쉽게 풀었을 것입니다. 그러나 여러분은 자신도 모르게 저의 암시에 걸려 제가 의도한 대로 문제를 어렵게 생각하게 되었고, 그런 고정관념 때문에 쉬운 길이 있음을 찾지 못한 것입니다.
이처럼 지금까지 여러분은 다른 회사에서 일하면서 그 회사의 방식에 길들여지며 고정관념이 생기게 됐습니다. 만약 그렇게 길들여진 관점으로 우리 회사를 보면 우리 회사가 당장은 부족해 보일 것이며, 급성장하고 있는 회사의 장기적인 꿈과 미래를 보지 못할 수도 있습니다. 따라서 지금까지 여러분의 경험과 고정관념을 모두 버리고, 백지 같은 마음으로 우리 회사와 장기적으로 이룰 수 있는 기회와 꿈을 바라봐 주시기 바랍니다.”
그러고 나서 그들의 요구에 대해 문 이사가 제시했던 1차안을 화면에 띄워 보여 주었다.
“이 조건에 대해 여러분은 만족해하지 않고, 우리에게 이런 조건을 제시했습니다.”
다음 화면에는 그들이 제시한, 회사가 수용하기 힘든 조건으로 가득 차 있었다.
“하지만 이 조건을 우리는 모두 수용하기 힘듭니다. 그래서 저는 칭다오까지 내려온 여러분을 위해 절충안을 준비했습니다.”
나는 우리가 제공해줄 수 있는 수준을 제시했다. 나의 제안서에는 오늘 방문한 당사자들의 요구 조건을 만족시키는 대신, 그들이 거느린 하위 대리상들에 대한 거래 조건에 대해서는 이미 1차안에서 제시한 수준에서 벗어나지 않는, 절대 양보할 수 없는 조건이었다. 순간 좌중이 술렁대기 시작하자, 나는 그들에게 생각할 시간을 삼십 분 주겠다며 자리를 피했다.
협상은 쌍방이 더 좋은 것을 얻기 위해 싸우는 과정이라기보다는 하나씩 양보해 가면서 합의점을 찾는 과정으로 이해해야 한다. 모든 세상사가 그렇듯이 ‘Give & Take’는 있어도 ‘Take & Give’는 없다. 따라서 나는 먼저 양보하여 그들의 요구 사항 중 리더급 대리상에 대한 조건을 수용해준다는 것을 강조하고, 대신에 하부 지역의 대리상에 대한 조건을 양보해 달라고 요청했다.
리더급 대리상들에게 주는 거래 조건은 일 인당 지급액은 매우 큰 편이지만 네 명뿐이 되지 않는 반면, 하부 대리상들은 백 명이 넘기 때문에 개별 금액은 적어도 회사가 제공해야 할 총체적인 금액은 훨씬 더 크기 때문이다. (계속)

The following day, after welcoming the distributors who had arrived from Northeast China, I arranged for the meeting to be held in the small auditorium on the third floor instead of the conference room on the second floor where our offices were located.
The reason was not only that I did not want them to casually observe how the company operated, but also because I wanted to focus entirely on the negotiation without being interrupted by other work.
After giving them a brief office tour, I deliberately refrained from meeting them immediately. Instead, as originally planned, I had Manager Lim provide a detailed introduction to the company and its products, while Manager Na presented our new product development plans for the year and emphasized the superior quality of our products.
After spending the morning this way, I intentionally had lunch with them in the employee cafeteria on the fourth floor, together with our staff, so they could experience the company’s friendly and cheerful atmosphere. My goal was to ease their tension and help them feel more at ease.
The greatest factor behind the allied forces of Wu and Shu defeating Cao Cao’s massive army at the Battle of Red Cliffs, where Zhuge Liang forged the Wu-Shu alliance, was that they successfully lulled the brilliant strategist Cao Cao into lowering his guard. Cao Cao dispatched Jiang Gan, a close friend of Zhou Yu, to gather intelligence.
However, Zhou Yu deceived his own friend, leading Cao Cao to believe everything was under control. Meanwhile, Pang Tong visited Cao Cao and successfully persuaded him to chain his warships together so that his exhausted soldiers, who were unfamiliar with naval warfare, would not suffer from seasickness.
In the end, exactly as Zhuge Liang had anticipated, an unexpected southeastern wind arose. The allied forces of Wu and Shu launched a fire attack that annihilated Cao Cao’s fleet. Although the Battle of Red Cliffs is regarded as one of the finest examples of the harmony of Heaven, Earth, and Man described in The Art of War, its greatest reason for success was that they succeeded in reassuring the normally cautious Cao Cao, causing him to let down his guard.
Making the other party feel at ease is equally difficult in negotiations. Therefore, before beginning the negotiation, I deliberately spent two hours in the morning having team leaders who were more knowledgeable than I was in their respective fields deliver presentations. My intention was to build credibility with them. Trust is the single most important factor in making the other side feel secure. I then created a comfortable atmosphere so they would feel confident in the company and at ease with us.
Only after spending the morning in this manner did I finally go up to the third floor with the interpreter. After briefly introducing myself, I prepared two simple quizzes before beginning the discussion to break the awkward atmosphere. They served as icebreakers, but there was a deeper purpose behind them. I had often used these exercises with employees and business partners to break existing fixed ideas.
Hidden within them were subtle suggestions designed to gradually open minds that had unknowingly become closed by subconscious assumptions. Once everyone was laughing together and the atmosphere had become warm and relaxed, I began to speak.
“Had I not subtly influenced your thinking before presenting these questions, you probably would have solved them much more easily. However, without realizing it, you fell under my suggestion and began to think about the problems exactly as I intended, making them seem more difficult than they really were. Because of those preconceived notions, you failed to notice the simple solution that was right in front of you.
“In the same way, all of you have developed fixed ways of thinking through your experience working for other companies. If you view our company through the perspective shaped by those experiences, you may see only our present shortcomings and fail to recognize the long-term vision and future of a company that is growing rapidly. Therefore, I ask you to set aside your past experiences and preconceived notions, approach our company with a blank slate, and look instead at the opportunities and dreams that we can achieve together over the long term.”
I then displayed on the screen the first proposal that Director Moon had previously presented in response to their demands.
“This was the proposal we offered, but you were not satisfied with these terms and instead presented us with the following conditions.”
The next slide was filled with demands that would be extremely difficult for the company to accept.
“However, it is impossible for us to accept all of these conditions. Since you have come all the way to Qingdao, I have prepared a compromise proposal for you.”
I presented the best terms we were capable of offering. My proposal accepted the demands of the representatives who had come to visit us that day. However, regarding the trading terms for the subordinate distributors under their organization, we would not go beyond the level already presented in our original proposal. That was one point on which we could not make any further concessions. The room immediately became restless, so I excused myself and told them I would give them thirty minutes to consider the proposal.
Negotiation should be understood not as a battle in which both sides fight to gain more, but as a process of making concessions one step at a time until a mutually acceptable agreement is reached. As with most things in life, there is “give and take,” but never “take and give.” For that reason, I emphasized that we were making the first concession by accepting their demands regarding the terms offered to the senior distributors. In return, I asked them to compromise on the terms that would apply to the lower-tier regional distributors.
The trading terms offered to the senior distributors represented a substantial amount for each individual, but there were only four of them. In contrast, there were more than one hundred lower-tier distributors. Although the amount allocated to each of them was relatively small, the total cost that the company would have to bear was far greater.
